NOTICE:

PT. G10matic Rekatama ("G10MATIC") provides the G10MATIC IT Limited Access ("GITLA") Website for the sole benefit of its authorized business partners and licensed customers who are entitled to receive service under a specific agreement. By clicking to indicate your acceptance, you certify that G10MATIC has authorized you to have access to this GITLA Website, and that you agree to abide by the following restrictions on disclosure and use of information accessible through GITLA.

I hereby certify that as of today (the "Effective Date"), I am authorized to use this GITLA Website by virtue of being an owner or representative of either an authorized business partner or a licensed customer who is entitled to receive service under a specific agreement with G10MATIC.

I hereby acknowledge and agree as follows:

1. G10MATIC owns and/or have the right to use the copyrights for information disseminated via the GITLA Website, and unless I have obtained a license under a separate written agreement with G10MATIC I do not have the right to distribute, and I am obligated under the copyright laws to refrain from distributing, any copy of any copyrighted material accessible through the GITLA Website.
2. G10MATIC owns and/or have the right to use the trade secret rights for information disseminated via the GITLA Website but not disseminated openly to unauthorized persons, which information is referred to herein as “Confidential Information”.
3. With respect to all Confidential Information to which I gain access via the GITLA Website, I will:
   1. restrict disclosure of the Confidential Information solely to those disclosees having a need to know in connection with licensed use of G10MATIC’s published software and who have agreed not disclose it to G10MATIC’s competitive disadvantage; and
   2. advise all such disclosees of the obligation of confidentiality hereunder.
4. Notwithstanding anything to the contrary herein, I will not have any obligation to preserve the confidentiality of any Information that:
   1. was previously known by me free of any obligation to keep it confidential;
   2. is distributed to third parties by G10MATIC without restriction;
   3. is or becomes publicly available, by other than unauthorized disclosure by me; or,
   4. is wholly and independently developed by me.
5. All Confidential Information shall be deemed the property of G10MATIC, and upon request, I will return all Confidential Information received in tangible form to G10MATIC, or destroy all such Confidential Information. Except for use in connection with the licensed use of G10MATIC’s published software, I will not use any Confidential Information for any purpose without the express written consent of G10MATIC.
6. Nothing contained in this Agreement shall be construed as granting or conferring any rights by license or otherwise in any with Confidential Information.
7. This Agreement shall be governed and construed in accordance with the laws of the Republic of Indonesia, irrespective of its choice of laws provisions, and shall benefit and be binding upon the parties hereto and their respective successors and assigns.
8. Since either party may choose not to do business with the other in the future, each acknowledges that the other is not responsible or liable for any business decisions made by either in reliance upon disclosures made during any meetings between the parties or in reliance on any results of the discussions.
9. Notwithstanding any termination of this Agreement, the obligation to refrain from unauthorized disclosure or use of the Confidential Information received prior to the termination of this Agreement shall survive for a period of five (5) years following the date of disclosure thereof hereunder.
10. Without the prior written consent of the Indonesian Department of Commerce, as required, I will not transmit any of the Confidential Information, directly or indirectly, to any country or to any citizen or resident of any country proscribed by the Indonesian Department of Commerce under its Export Administration Regulations. This obligation shall survive the termination of this Agreement.
11. The parties acknowledge that the breach or threatened breach of this Agreement may result in irreparable injury to G10MATIC, and that, in addition to its other remedies, G10MATIC may be entitled to preliminary or permanent injunctive relief to restrain any threatened or continued breach of this Agreement. I hereby waive any requirement for the posting of a bond or other security in connection with the granting to G10MATIC of such injunctive relief.
12. Each Party represents to the other that this Agreement constitutes a valid, binding and enforceable obligation of such party.
